This Restaurant Partner Marketplace Agreement ("Agreement") constitutes a legally binding contract between DIGITAL ENGINEERING AND TECHNOLOGIES PRIVATE LIMITED, a company incorporated under the Companies Act, 2013, having its registered office at [Your Company Registered Address], India (hereinafter referred to as the "Company" or "Platform", which expression shall unless repugnant to the context include its successors and permitted assigns) of the FIRST PART;
AND
The commercial entity, cloud kitchen, or individual restaurant food business operating the establishment onboarding onto the platform (hereinafter referred to as the "Merchant" or "Restaurant Partner"), represented herein by its Authorized Owner OR Designated Restaurant Manager (the "Signatory") of the SECOND PART.
By checking the "I Accept the Restaurant Partner Agreement" box during digital portal onboarding, or by physically signing this document, the Signatory warrants that they possess full legal authority to bind the Restaurant Partner to all terms, operational rules, and food liability clauses detailed below.
1.1 Marketplace Listing: The Company operates an online technology platform and smartphone applications widely known by its consumer brand name "Cravioo" (the "App"). The Company grants the Restaurant Partner a limited, revocable, non-exclusive right to display its restaurant name, menus, prices, and food images to consumers within our designated hyperlocal trial zones.
1.2 Intermediary Status: The Restaurant Partner explicitly acknowledges that the Company operates strictly as an Intermediary under Section 79 of the Information Technology Act, 2000. The Company does not own, run, or manage the restaurant, nor does it control kitchen hygiene.
2.1 FSSAI Warranty: The Restaurant Partner represents and warrants that it holds a valid, active license or registration issued by the Food Safety and Standards Authority of India (FSSAI) under the Food Safety and Standards Act, 2006.
2.2 Mandatory Display: The Signatory (Owner or Manager) must provide a clear digital snapshot of their active FSSAI certificate during onboarding. The Restaurant Partner's 14-digit FSSAI number will be publicly displayed on their digital menu card inside the App for consumers to see.
2.3 Immediate Shutoff: In the event that the Restaurant Partner's FSSAI license expires, gets suspended, or is canceled by food safety inspectors, the Restaurant Partner (or its Manager) must notify the Platform instantly. The Company reserves the absolute right to permanently deactivate and shadow-ban the restaurant's digital storefront within 1 hour of discovery, with zero liability.
3.1 Dashboard Authority: The Company will grant a password-protected merchant dashboard console to the Restaurant Partner. The Owner or Manager is entirely responsible for maintaining the accuracy of menu item listings, prices, descriptions, and mandatory allergen/dietary tags (e.g., Green Veg Dot / Red Non-Veg Dot).
3.2 Live Out-of-Stock Toggling: To prevent consumers from placing unfulfillable orders, the Restaurant Partner's kitchen staff or Manager must immediately toggle any unavailable dish to "Out of Stock" on the live dashboard.
3.3 Secure Spill-Proof Packaging: The Restaurant Partner must package all food items using high-grade, food-safe, tamper-evident, heat-retentive, and leak-proof packaging containers. The Restaurant Partner shall be solely liable for any customer complaints arising from structural packaging bursts or spilling before handover to the delivery rider.
4.1 Food Safety Guarantee: The Restaurant Partner assumes 100% exclusive financial and legal liability for the quality, preparation, freshness, hygiene, taste, and medical safety of all food items prepared in its kitchens.
4.2 The Contamination Shield: In the event that a consumer suffers food poisoning, illness, allergic shock, or encounters foreign, toxic, or unhygienic objects in food ordered through the App, the Restaurant Partner explicitly agrees that the Company and its individual software creators bear zero liability.
4.3 Total Financial Indemnity: The Restaurant Partner shall fully defend, indemnify, and hold harmless the Company, its directors, its software owner, and its zonal franchise operators against any lawsuits, consumer court complaints, financial damages, legal fees, or government health penalties arising directly or indirectly from the food items prepared by the Merchant.
5.1 Platform Commission: In consideration for utilizing our marketplace software, payment routing, and local visibility, the Company shall charge a fixed marketplace commission of [Insert Commission %, e.g., 15%] on the Gross Value of every successful order accepted by the Restaurant Partner (excluding government taxes and delivery fees).
5.2 Central Money Routing: The Restaurant Partner acknowledges that 100% of customer app revenue is collected directly via the Company's centralized corporate bank account.
5.3 Weekly Settlement Cycles: The Company shall transfer the net accumulated balances directly to the Restaurant Partner's verified business bank current account on a weekly basis (every Monday/Tuesday for the preceding week's completed sales), after cleanly deducting:
6.1 Ready-Time Compliance: When the Restaurant Partner accepts an order on its kitchen dashboard, it must input a realistic preparation time. The food must be fully prepared, packaged, and labeled by the time the assigned independent Delivery Partner arrives at the pickup counter.
6.2 Order ID Verification: Before releasing the food package to a delivery rider, the kitchen staff or Manager must physically verify that the digital Order ID displayed on the rider's smartphone app exactly matches the Order ID printed on the kitchen receipt.
6.3 Right of Refusal: If an independent delivery rider arrives without proper thermal gear, shows signs of intoxication, or acts aggressively, the Restaurant Manager has the right to refuse handoff and must instantly escalate the ticket via the dashboard to the Zonal Manager for an immediate rider re-assignment.
7.1 Ecosystem Data Protection: The Restaurant Partner and its Manager shall have access only to names and item counts needed to prepare orders. The Restaurant Partner is strictly prohibited from downloading, scraping, or storing customer phone numbers or private home addresses. Any attempt to compile customer databases for independent offline marketing will trigger an immediate permanent account ban and a lawsuit for corporate data theft.
7.2 Termination for Convenience: Either party may terminate this agreement at any time by providing seven (7) days' written notice via the dashboard or support email, allowing the kitchen to offboard cleanly.
8.1 Jurisdiction: This Agreement shall be governed by and interpreted exclusively in accordance with the laws of the Republic of India. Any disputes, litigation, or consumer legal claims arising out of this marketplace arrangement shall be subject to the exclusive jurisdiction of the courts located in [Insert Your City/State], India.
By proceeding with restaurant onboarding on the Cravioo platform, you acknowledge that you have read, understood, and agree to be legally bound by all terms and conditions outlined in this Restaurant Partner Marketplace Agreement.
